Terms of Service

Master Edition

The Sidekick website and all its products and services ("Services" or "the Service") are operated by Sidekick Education Inc ("Sidekick"). Any use of the Service is subject to any included Privacy and Data, Intellectual Property, Anti-discrimination, and Acceptable Conduct policies.

Sidekick may establish individual Service Agreements with unique customers. These agreements extend and, where there are conflicts, override general agreements, including the aforementioned agreements and policies.

Dispute Resolution

In the event of dispute, either party can call for escalation by written notice to the other. Within 21 business days of such notice, each party will designate an employee with authority to make commitments that would resolve the dispute. The parties’ representatives will meet, either in person or by phone within 7 business days of their designation and will negotiate in good faith to resolve the dispute. Except to the extent necessary to prevent irreparable harm or to preserve rights or remedies, neither party will initiate arbitration or litigation until 10 business days after representatives meet.

Successors and Assigns

This Agreement may not be assigned by either of us without getting the other's consent in writing, unless your or our entity is merged into another entity. This Agreement remains in place, even for the new parties.

Counterparts

Sidekick Service Agreements may be executed in one or more counterparts. Each counterpart will be an original, but all such counterparts will constitute a single instrument.

Hold Harmless/Indemnity

You and we agree to indemnify and hold harmless the other for and from any claims, causes of action, or any other proceeding of any type or kind that is made against the other where such claim, cause of action or other proceeding arises from the conduct, act, omission, or commission by the other party.

Severability

In the event any part of your Service Agreement is determined to be invalid or unenforceable, it does not affect the validity of the rest of the Agreement.

Entire Contract

The agreements contained in the entirety of a Sidekick Service Agreement comprise the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. The executed Service Agreement supersedes any prior written or oral agreements.
